The AAHOA Charitable Foundation (ACF) on Nov. 25 adopted a new governance charter that formalizes its mission, operational structure, and financial oversight practices.
The charter establishes the Foundation’s purpose around four central pillars: Education and Scholarships, Women and Youth Advancement, Humanitarian Aid and Disaster Relief, and Anti-Human Trafficking. Leadership said these areas will serve as the basis for evaluating initiatives and directing resources more strategically.

Board chair Nishant Patel said the new framework reinforces the Foundation’s long-term commitments. "These four pillars embody how we live out our purpose—empowering and supporting communities through education, opportunity, and service," he said.
AAHOA chair Kamalesh Patel said the adoption strengthens transparency and governance. "It ensures that our philanthropic work is guided by strong governance, financial integrity, and a shared vision rooted in AAHOA’s values," he said.
The charter outlines board responsibilities, term limits, quarterly meeting requirements, and financial reporting standards, including mandatory annual audits and strict rules for how funds may be used.
All expenditures must directly support the Foundation’s charitable mission, with prohibitions on personal travel, lodging, or meals for board members.
The document also defines the Foundation’s powers—such as accepting contributions, issuing grants, investing funds, and entering into contracts—while placing limitations to safeguard its tax-exempt status.
Restrictions include bans on speculative investments, political activity, and any benefit to private individuals, ensuring all resources advance charitable goals.
Additional provisions address dissolution procedures, specifying conditions such as financial mismanagement or failure to meet responsibilities. If dissolution occurs, assets must be allocated to charitable purposes consistent with federal guidelines and the Foundation’s mission.
As the charitable arm of AAHOA, one of the nation’s largest hotel owners associations, ACF plays a central role in advancing education, leadership development, and community support.
